1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the website gaudit.ai and all related software, services, and tools (collectively, the "Service") provided by Gaudit AI LLC ("Company," "we," "us," or "our").

By creating an account, making a purchase, or otherwise using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement, and accept these Terms in full.

2. Description of Service

Gaudit.ai is an AI-powered Google Ads audit platform that analyzes advertising data and generates performance reports, recommendations, and action plans. The Service is offered under the following plans:

• Free Plan: Limited audits per month at no charge.
• Pro Plan: Monthly subscription with expanded audit volume and features.
• Agency Plan: Monthly subscription with white-label reports, multi-client access, and API access.
• One-time Audit: Single audit purchase with no recurring commitment.

Features and limits for each plan are described on our pricing page and may be updated from time to time.

3. Account Registration

You must create an account to access paid features. You agree to provide accurate, current, and complete information and to keep your account credentials confidential. You are responsible for all activity that occurs under your account. Notify us immediately at contact@gaudit.ai if you suspect unauthorized access.

4. Payments and Billing

All payments are processed securely by Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

• Subscriptions: Billed monthly on the date of your initial purchase. Subscriptions renew automatically unless cancelled before the renewal date.
• One-time purchases: Charged at the time of purchase. No recurring charges apply.
• Failed payments: If a payment fails, we may suspend your account until payment is resolved.
• Price changes: We will provide at least 30 days' notice before changing subscription prices. Continued use after the effective date constitutes acceptance.
• Taxes: You are responsible for any applicable taxes in your jurisdiction.

5. Refunds and Cancellations

Please refer to our Refund Policy for full details. In summary:

• Monthly subscriptions may be cancelled at any time. No refund is issued for the current billing period.
• One-time audit purchases are non-refundable once the audit has been generated.
• Refund requests for unused services are evaluated on a case-by-case basis.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations.
• Attempt to reverse-engineer, scrape, or extract the underlying AI models or report templates.
• Share, resell, or redistribute audit reports generated under a Free or Pro plan to third parties for commercial gain without an Agency plan.
• Upload data you do not own or have the right to process.
• Interfere with or disrupt the integrity or performance of the Service.

7. Intellectual Property

The Service, including its design, code, AI models, and templates, is owned by Gaudit AI LLC and protected by intellectual property laws. You retain ownership of the data you upload. We grant you a limited, non-exclusive, non-transferable license to use the Service and the reports generated for your own internal business purposes.

Agency plan subscribers may white-label reports under their own brand for use with their clients.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We process your data solely to provide the Service and as described in the Privacy Policy.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. Gaudit AI LLC does not guarantee that:

• Audit recommendations will result in improved advertising performance.
• The Service will be error-free, uninterrupted, or available at all times.
• Results will be accurate, complete, or suitable for your specific situation.

AI-generated insights are for informational purposes only and do not constitute professional advertising, financial, or legal advice.

10. Limitation of Liability

To the maximum extent permitted by law, Gaudit AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, loss of data, or loss of business opportunity.

Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 3 months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms. You may cancel your account at any time from your account settings. Upon termination, your right to use the Service ceases immediately.

12. Governing Law

These Terms are governed by the laws of the State of New Mexico, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New Mexico.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a notice on the Service. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
